As many companies experience day by day, PRC regulations become more and more defined and important obligations are expected of companies. Especially General Managers or Directors are faced with these increased obligations and therefore seek professional support in

entities.

Not to run into the trap of exposing your company to any irregularities, sim is able to offer you such a professional approach your company’s needs. Either involved in the operational management as Managing Director, as Board member, in the supervisory board function or as

· operational management

In this case sim is mandated to take on the executive operational management on behalf of its customers for a defined period to organize a strong and efficient team, which will be able to independently run the customer’s business.

Up to now, Party B has been mandated on several occasions to provide the entire operational management for different companies, mainly in the function of General Manager or Managing Director.

Party B thereby can ensure the entire setup if necessary, from the adequate legal structure, the right location until the necessary assistance to build up a competent team to serve the needs of the company from the beginning.

· board of directors

Appointed as a member of the Board of Directors or as an Adviser of the Board of Directors of companies’ sim can fulfill all the responsibilities attached to such appointment.

Due to our extensive knowledge and experience in management and in China operations, including several previous appointments to different boards of directors, Mr. Zwahlen and sim’s employees are recognized as very valuable Board members or Advisers to the Board.

· supervisory board

In this instance sim is appointed by the shareholders to the Supervisory Board of a company and will in this position focus mainly on supervising the management, the corporate finance, the legal compliance of the local entity as well as the duties related to the actions of the directors and senior managers.

According to the new PRC laws and regulations, all companies registered after January 1st, 2006 must have a supervisor or supervisory board.
Due to his extensive knowledge and years of experience in anagement and appointed as member to various board of directors the owner of sim, Philippe Zwahlen, is a very valuable asset on supervisory boards.
Further, being supervisor of various companies, sim has already built up a professional team and system to ensure the supervisor’s responsibilities.

· strategy counsel

Is where sim is appointed to establish and/or review together with the European or Asian headquarters a company’s entire China and/or Asia Pacific strategy for the group.

sim actively and practically supports the implementation of the elaborated strategy.

Being able to adapt to specific industries, including manufacturing and services and their individual needs, sim is the adequate strategic counsel to build sustainable solutions for foreign, local & international businesses regardless of the industry.

· restructuring

Often, by expansion or integration into a new entity, companies need to re-adapt their structure to the new environment. Other companies may maintain their established structures without undertaking critical and continuous re-assessments. However, it is of great value to analyze and change a company’s structure from time to time to then re-launch the business and increase its efficiency and profitability.

If for those or many different reasons, sim is appointed to partially participate/handle or to totally restructure a company, we add value not only by the fact that as an external party we are more efficient in reorganizing, but as sim is highly experienced in operations and
management, we can refer to our knowledge base and previous experience and consequently customize the strategy.
